Copyright License Agreement

This License Agreement (Agreement) is made and entered into effective as of:
(the “Effective Date”), by and between:
(Licensor) who has created the image/photograph (Work), and The Dogs Mohawk LLC, 1377 White Sands Lane, Syracuse, UT 84075 (Licensee).

The Work is attached here for reference:

Recitals

Licensee operates the website DoodleDoods.com to present articles, courses, and information about dog haircut styles, dog color and coat type, and dog growth and development.

Licensee desires to obtain a non-exclusive license to use the Work and Licensor agrees to grant a license authorizing the use of the Work by Licensee in accordance with the terms and conditions of this Agreement.

Licensor and Licensee agree as follows:

Grant of License

Licensor hereby grants to the Licensee, in accordance with the terms and conditions of this agreement, a non-exclusive, non-transferable license to use the Work on DoodleDoods.com and on social media platforms individually or as part of a collage as part of site content, articles, and informational courses related to topics including but not limited to dog grooming, haircut styles, colors and coat types, growth, and development.

Use of the Work will be accompanied by attribution to the Licensor and a tag back to Licensor’s social media account where applicable.

Licensee will not inherit rights to sell the Work.

Representations

Licensor represents that they are the author and the sole and exclusive owner of the Work.

The Licensor and the Licensee agree that they have a right to enter into this agreement and doing so will not violate any contract they already are a part of. The Licensor represents and warrants as follows:

  • The Work has not been copied from anywhere.
  • The rights in the Work have not been sold or transferred to any third person.
  • The Work was not created as part of the Licensor’s employment to a third party.

Term

This Agreement shall commence as of the Effective Date and shall continue to be in full force for an indefinite period of time.

Consideration

Licensor agrees that allowing the Licensee to publish the Work will provide greater public exposure for Licensor.

Termination

Licensor may terminate this agreement by providing 90 days’ notice of termination to Licensee.

Choice of Law

This Agreement shall be governed by and construed in accordance with, the laws of the State of Utah and any arbitration or other action to enforce this Agreement shall be brought in Salt Lake City, Utah using Utah laws.

Miscellaneous

This Agreement constitutes the entire agreement and understanding of the parties with respect to the subject matter hereof, superseding any and all prior agreements, understandings, negotiations, and discussions. No amendment, alteration, modification, or waiver of this Agreement shall be binding unless in writing and signed by the party against whom enforcement thereof is sought.

If any provision of this Agreement, or the application of such provision to any person or circumstance shall be held invalid of deficient, the remainder of this Agreement, or the application of such provisions to any other persons or circumstances, shall not be affected thereby.

This Agreement may be executed in several counterparts, each of which shall be deemed an original, but all of which shall constitute one and the same document.

In witness thereof, the undersigned have executed this Agreement to be effective as of the Effective Date.
